Terms of Service

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“you,” “User,” “Submitter”) and Imajeure Inc. (“Quotetoo,” “we,” “us,” “our,” “Company,” “Service”).

If you do not agree to these Terms, you must immediately discontinue use of the Service.

Quotetoo is a curated quote submission and archival platform where users submit original quotes for permanent publication. The Service includes:

• Quote submission with email verification
• Admin-moderated curation (not all submissions are approved)
• Permanent public display of approved quotes
• Author attribution with optional social media links
• Semantic search functionality
• Self-service quote management via secure access links

3.1 Minimum Age

You must be at least 13 years old to use this Service.

If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you represent that you have obtained verifiable parental or legal guardian consent to use this Service.

If you are under 13 years old, you may not use this Service under any circumstances.

3.2 Authority

By using this Service, you represent and warrant that:

• You have the legal capacity to enter into this Agreement
• You are not prohibited from using the Service under applicable law
• All information you provide is accurate and truthful
• You will comply with all applicable laws and these Terms

4.1 No Traditional Accounts

Quotetoo does not use traditional username/password accounts. Instead, we use:

1. Email verification for quote submissions
2. Magic link authentication for quote management (1-hour sessions)

4.2 Email Verification

When you submit a quote, we send a verification link to your provided email address. You must click this link to verify ownership of the email before your quote enters moderation.

Security: Verification links expire after 24 hours.

4.3 Magic Link Management Access

To manage your quotes, request a secure access link via /manage. We will email you a cryptographically secure token valid for 1 hour.

4.4 Rate Limiting

To prevent abuse, we limit:

• Quote submissions: Reasonable use only
• Magic link requests: 3 requests per email per hour

Excessive requests may result in temporary or permanent suspension.

5.1 Definition

“User-Generated Content” or “UGC” includes all quotes, author names, usernames, context/backstory, social media handles, and any other information you submit to Quotetoo.

5.2 Your Responsibilities

By submitting UGC, you represent and warrant that:

1. Originality: The quote is your original work or you have obtained all necessary permissions
2. Ownership: You own or control all rights to the submitted content
3. No Infringement: The content does not infringe any intellectual property, privacy, publicity, or other rights of any third party
4. Accuracy: All information provided (name, social handles, context) is accurate
5. Legality: The content complies with all applicable laws and these Terms
6. No Harm: The content does not contain harmful, illegal, or prohibited material (see Section 6)

5.3 License Grant

You retain ownership of your quote's copyright. We are merely licensing it for display and platform operation.

5.4 Permanence Policy

Approved quotes are intended to be permanent.

Once your quote is approved and published:

• The quote text cannot be edited (immutability is a core feature)
• The quote URL is permanent and may be shared, cited, or linked by others
• You can delete your quote via self-service (see Section 5.5)
• Deleted quotes show “Quote Removed” message but URL remains active

Why permanence matters: Quotetoo positions quotes as “permanently inked” intellectual contributions. This permanence gives quotes credibility and allows others to cite them with confidence.

5.5 Deletion Rights

You have the right to delete your quotes.

Effect of Deletion:

• Quote status changes to “deleted”
• Quote URL displays “Quote Removed - This quote has been removed by its author”
• Quote is excluded from search results
• Attribution remains visible (for transparency)
• Original URL remains active (prevents broken links)

Bulk Deletion: For deleting all quotes at once, contact: hello@quotetoo.com

Deletion Timeline: Typically processed within 7 business days.

5.6 What You Cannot Do With Content

You may not:

• Submit quotes you did not write (plagiarism)
• Submit quotes from other authors without authorization
• Impersonate another person
• Submit copyrighted material without permission
• Submit trademarked phrases without permission
• Submit content that infringes any third-party rights
• Use automated tools (bots, scrapers) to submit quotes
• Submit duplicate or repetitive content
• Submit AI-generated quotes without disclosure (must indicate AI authorship)

You may not submit content that:

7.1 Admin Review Process

All submitted quotes undergo admin moderation before publication. We review for:

• Compliance with prohibited content policies (Section 6)
• Quality and appropriateness for the platform
• Authenticity and originality
• Proper attribution

7.2 No Guaranteed Approval

Quotetoo is a curated platform. We reserve the right to reject any submission without providing a reason. Rejection does not imply that your quote violates these Terms.

7.3 Post-Publication Removal

We reserve the right to remove published quotes at any time if:

• We discover the quote violates these Terms
• We receive a valid DMCA takedown notice
• The quote is subject to a legal complaint
• We determine removal is necessary to protect the platform or users

7.4 Appeals

If your quote is rejected or removed, you may contact us at hello@quotetoo.com to request an explanation or appeal the decision. We will review appeals on a case-by-case basis but are not obligated to reverse decisions.

8.1 Platform Ownership

Quotetoo, including all software, design, text, graphics, logos, icons, images, audio clips, downloads, interfaces, code, and data, is the exclusive property of Imajeure Inc. and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service without our express written permission.

8.2 User Content Ownership

You retain copyright ownership of quotes you submit. However, by submitting, you grant us the license described in Section 5.3.

8.3 DMCA Policy

We respect intellectual property rights. If you believe content on Quotetoo infringes your copyright, submit a DMCA notice to: legal@quotetoo.com

Your notice must include:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material (URL)
• Your contact information
• A statement that you have a good faith belief the use is not authorized
• A statement that the information is accurate and you are authorized to act
• Your physical or electronic signature

8.4 Trademark

“Quotetoo” and the Quotetoo logo are trademarks of Imajeure Inc. You may not use our trademarks without prior written permission.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability - We do not warrant that the Service is suitable for any particular purpose
• Fitness for a Particular Purpose - We do not guarantee the Service will meet your specific needs
• Non-Infringement - We do not warrant that user content is non-infringing
• Accuracy - We do not guarantee accuracy of quotes, attributions, or user-provided information
• Availability - We do not guarantee uninterrupted or error-free service
• Security - We do not guarantee absolute security of data transmissions

USE OF THE SERVICE IS AT YOUR OWN RISK.

These limitations reflect the allocation of risk between the parties. The Service is offered free of charge (or at low cost for premium features), and these limitations are an essential basis of the bargain between you and Quotetoo.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

The Service may contain links to third-party websites or services (e.g., social media profiles submitted by users). These links are provided for convenience only.

We do not endorse, control, or assume responsibility for third-party content, products, or services.

Your interactions with third-party services are solely between you and that third party. We are not liable for any loss or damage resulting from such interactions.

Your use of the Service is governed by our Privacy Policy, which describes:

• What data we collect
• How we use and protect your data
• Your rights under GDPR, CCPA, and other privacy laws
• Cookie usage and tracking

Important: By using Quotetoo, you consent to the collection and use of information as described in our Privacy Policy.

14.1 Termination by You

You may stop using the Service at any time. To delete your quotes, use the self-service deletion feature at /manage or contact us at hello@quotetoo.com.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if:

• You violate these Terms
• We suspect fraudulent or illegal activity
• We decide to discontinue the Service

14.3 Effect of Termination

Upon termination:

• You lose access to management features
• Published quotes may remain visible (subject to our permanence policy)
• Sections 8, 9, 10, 11, 15, and 16 survive termination

15.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@quotetoo.com to attempt to resolve the dispute informally.

You agree to bring claims only in your individual capacity and not as part of any class or representative action.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding (not subject to arbitration) shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quotetoo regarding the Service.

17.2 Amendments

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms with a new “Last Updated” date. Continued use of the Service after changes constitutes acceptance.

17.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

17.4 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer these Terms. We may assign our rights without restriction.

17.6 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control (natural disasters, wars, pandemics, government actions, etc.).
